Terms of Use.

These Terms of Use (this "EULA") are a contract between you and Orchestra Code ("Orchestra", "we", "us") covering the Orchestra Code mobile app, the web app, and orchestracode.com. By creating an account or using the service you agree to these terms. If you do not agree, do not use the service.

Orchestra runs AI coding agents on a cloud machine that belongs to your account. You describe a change, the agent works on a branch of a repository you connect, and Orchestra shows you the diff, can run your project's own web dev server so you can look at it, and opens a pull request. You review and merge. Orchestra does not distribute, install, or run other people's applications, and it does not modify the Orchestra app itself.

You need an account because everything the service does is tied to it: your private cloud machine, your connected repositories, your AI provider credentials, your task history, and your subscription. You are responsible for the credentials you connect and for the activity under your account. You can delete your account at any time from Settings in the app, which removes your account data, tasks, stored keys, and cloud workspace.

Orchestra is bring your own key. You connect your own account with an AI provider (for example Anthropic, OpenAI including a ChatGPT subscription, or OpenRouter), and the tasks you run are billed to you by that provider at their price. Running a task sends your prompt and the relevant files from the repository you connected to that provider. You are responsible for complying with that provider's terms, and for having the right to send the code you connect.

What is sent, to whom, and how it is handled is set out in the privacy policy, and is shown in the app before your first task, where you are asked to agree to it.

You keep all rights to your code, your prompts, and anything the agent produces for you. You grant Orchestra only the permission needed to run the service: to clone, read, and change the repositories you connect, to pass your prompts and code to the AI provider you chose, and to store the results so you can review them. We do not train models on your code and we do not sell your data.

Paid plans (Starter, Pro, Max) are auto-renewing monthly subscriptions. Each plan sets your monthly machine hour allowance and the size of your cloud machine. Prices are shown in the app before you purchase, in your local currency where the store provides one.

Purchases in the iOS app. Payment is charged to your Apple Account at confirmation of purchase. The subscription renews automatically for the same price and period unless auto renew is turned off at least 24 hours before the end of the current period. You can manage or cancel it in Settings, then your Apple Account, then Subscriptions. Deleting the app does not cancel a subscription.

Purchases on the web. Payment is processed by Stripe and renews monthly at the same price until you cancel from the billing portal. Cancellation takes effect at the end of the paid month.

Subscription fees cover Orchestra's cloud machine time. They do not cover what your AI provider charges you for the tokens your tasks use. Except where the law or the app store's own policy requires it, payments are not refundable, and unused machine hours do not carry over.

You agree not to use Orchestra to:

• work on code you have no right to access or change;
• build or distribute malware, or attack, scan, or overload systems you do not own;
• break the terms of your AI provider, your Git host, or any applicable law;
• resell the cloud machine as general purpose compute (for example mining, proxying, or bulk sending);
• circumvent the limits, quotas, or isolation of the service.

We may suspend or terminate an account that does this, or that puts the service or other users at risk.

Code an AI agent writes can be wrong, insecure, or unsuitable, and two runs of the same prompt can differ. Orchestra deliberately puts every change on a branch and behind a pull request so you review it. You are responsible for reviewing, testing, and deciding what to merge and ship.

We may change, add, or remove features, and we may adjust plan prices or allowances with notice for the following billing period. We aim to keep the service available but do not guarantee uninterrupted operation.

The service is provided "as is" and "as available", without warranties of any kind to the extent the law allows. To the maximum extent permitted by law, Orchestra is not liable for indirect, incidental, or consequential damages, or for lost profits or lost data, and our total liability for any claim is limited to the amount you paid us in the twelve months before the claim.

This EULA is between you and Orchestra only, not with Apple. Apple is not responsible for the app or its content. Your license to use the app on Apple devices is a non transferable license to use it on any Apple branded device you own or control, as permitted by the App Store Terms of Service.

Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the app; to the maximum extent permitted by law, Apple has no other warranty obligation. Orchestra, not Apple, is responsible for addressing any claim relating to the app, including product liability claims, claims that the app fails to conform to a legal requirement, and claims under consumer protection or privacy law. Orchestra, not Apple, is responsible for investigating and resolving any third party claim that the app infringes intellectual property rights.

You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist supporting country, and that you are not on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third party beneficiaries of this EULA and may enforce it against you.

You may stop using the service and delete your account at any time. We may suspend or end access for a breach of these terms. Sections that by their nature should survive (content ownership, disclaimers, liability) survive termination.

These terms are governed by the laws of the Netherlands, without regard to conflict of law rules, and the courts of the Netherlands have jurisdiction. This does not remove any mandatory consumer rights you have where you live.
